Terms of Service & End User License Agreement

This Agreement (the "Agreement" or "EULA") is a binding contract between you ("you," "your," or "Customer") and Eric Schayes Ventures LLC, a New York limited liability company with a principal place of business at 25 East Street, Honeoye Falls, NY 14472 ("ArgusForge," "we," "us," or "our"). It governs your purchase and use of the ArgusForge desktop software, related documentation, license keys, software updates, and the website at argusforge.net (collectively, the "Software" or "Services").
By purchasing, downloading, installing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not purchase, download, install, or use the Software, and request a refund within fourteen (14) days of purchase under Section 9.
1. License grant
1.1 Grant
Subject to your payment of the applicable fees and your continued compliance with this Agreement, ArgusForge grants you a perpetual, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on the number of workstations corresponding to the license tier you purchased:
- Solo: one (1) named user, who may install on up to two (2) workstations they personally use (e.g., a laptop and a desktop), provided the Software is not used concurrently on both
- Team: up to five (5) named users, each subject to the Solo per-user installation rule
- Enterprise: unlimited users within a single legal entity (the "Licensed Firm"), subject to the definitions in Section 1.3
1.2 Perpetual license; updates window
The license granted under this Agreement is perpetual with respect to the version of the Software available as of your purchase date, including all minor updates and patches released during the twelve (12) months following purchase ("Free Update Window"). After the Free Update Window expires, you may continue to use the version of the Software you have licensed indefinitely, but you are not entitled to new releases unless you purchase an update.
1.3 Definitions
For purposes of this Agreement:
- "Named User" means a specific individual employee or contractor of the Customer who is authorized to use the Software. License keys may not be shared among multiple individuals.
- "Licensed Firm" (for Enterprise licenses) means a single legal entity. Affiliates, subsidiaries, joint ventures, and parent companies are separate legal entities and require their own Enterprise licenses unless we agree otherwise in writing.
- "Add-On Module" means an additional component sold separately (such as the Monte Carlo Risk Add-On). Each Add-On Module requires its own license key and is subject to the same per-seat and per-firm rules as the core license.
2. Restrictions
You may not, and may not permit any third party to:
- copy, modify, adapt, translate, or create derivative works of the Software, except for one backup copy for archival purposes;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law notwithstanding this restriction;
- rent, lease, lend, resell, sublicense, distribute, host, or provide the Software as a service to any third party;
- remove, alter, or obscure any copyright, trademark, or other proprietary notice in the Software;
- use the Software to develop a competing product;
- share, publish, or post your license key publicly or with any individual not authorized under your license tier;
- use the Software in violation of any applicable law, including export control laws and sanctions regulations.
3. Ownership and intellectual property
The Software is licensed, not sold. ArgusForge and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to our trademarks, service marks, trade names, logos, or domain names. Any feedback, suggestions, or improvements you provide to us regarding the Software may be used by us without obligation or compensation.
4. Your data; offline operation
The Software runs entirely on your workstation. ArgusForge does not collect, transmit, or store your schedule data, .xer files, analysis results, or any other content you process with the Software, except in the following limited cases:
- License activation (if your license uses an online activation mechanism) sends only your license key and a hashed installation identifier to our license server. No file data is transmitted.
- Support interactions you initiate may, at your option, involve sending us files or screenshots. We treat anything you send to us as confidential and use it only to resolve your support request.
You retain all right, title, and interest in your schedule data and analysis outputs. We claim no ownership of, and no license to, any data you process with the Software.
5. Updates and support
5.1 Updates
During the Free Update Window, ArgusForge may provide, at our discretion, bug fixes, security patches, and feature updates. Updates are provided as-is and are subject to this Agreement. We do not promise any specific update cadence or any specific new features during the Free Update Window. After the Free Update Window expires, future updates may require a paid upgrade.
5.2 Support
Email support is included with all license tiers, addressed to support@argusforge.net. We aim to respond to support requests within two (2) business days. Response times are not guaranteed and do not constitute a service level agreement unless a separate written SLA is signed between you and ArgusForge.
6. Fees and payment
License fees are stated on argusforge.net at the time of purchase and are payable in full at the time of purchase via our payment processor, Stripe. Prices are in United States Dollars unless otherwise stated. You are responsible for any applicable taxes, duties, or government charges, except taxes based on our net income.
7. Term and termination
7.1 Term
This Agreement begins on the date of your purchase and continues until terminated as set forth below.
7.2 Termination for breach
We may terminate your license and this Agreement immediately, with or without notice, if you materially breach this Agreement, including without limitation any breach of Section 2 (Restrictions). Upon termination, you must cease all use of the Software and destroy all copies in your possession or control.
7.3 Survival
Sections 3 (Ownership), 8 (Disclaimer), 9 (Refunds — for refund requests timely submitted), 10 (Limitation of Liability), 11 (Indemnification), 12 (Governing Law), and 13 (Miscellaneous) survive termination.
8. Disclaimer of warranties
The Software is provided "AS IS" and "AS AVAILABLE," with all faults, and without warranty of any kind. To the maximum extent permitted by applicable law, ArgusForge expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, or quiet enjoyment.
Without limiting the foregoing, we do not warrant that the Software will meet your requirements, that it will operate uninterrupted or error-free, that defects will be corrected, that analysis results will be accurate, or that the Software is suitable for any particular schedule, project, or decision. The Software is a planning and analysis aid only; it is not a substitute for professional judgment. Any decisions you make based on the Software's output are your sole responsibility.
9. Refund policy
We offer a fourteen (14) day money-back guarantee from the date of purchase, no questions asked. To request a refund, email support@argusforge.net from the email address used at purchase within fourteen (14) days of your purchase date. We will refund the full purchase price to the original payment method within ten (10) business days. Upon refund, your license is automatically revoked and you must cease all use of the Software and destroy all copies. Refunds are not available after the fourteen-day period has elapsed.
10. Limitation of liability
To the maximum extent permitted by applicable law, in no event will ArgusForge, its officers, members, employees, contractors, or licensors be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation damages for lost profits, lost revenue, lost savings, lost data, business interruption, project delays, cost of substitute software, or any other commercial damages or losses, arising out of or related to this Agreement or your use of (or inability to use) the Software, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if ArgusForge has been advised of the possibility of such damages.
In no event will ArgusForge's total cumulative liability arising out of or related to this Agreement exceed the amount you actually paid to ArgusForge for the license that is the subject of the claim during the twelve (12) months preceding the event giving rise to liability.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
11. Indemnification
You will defend, indemnify, and hold harmless ArgusForge and its officers, members, employees, contractors, and licensors from and against any third-party claims, actions, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of the Software in violation of this Agreement; (ii) your violation of any applicable law; or (iii) your violation of any third-party right, including any intellectual property right or privacy right.
12. Governing law and dispute resolution
12.1 Governing law
This Agreement is governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
12.2 Venue
You agree that any legal action or proceeding arising out of or related to this Agreement will be brought exclusively in the state or federal courts located in Monroe County, New York, and you consent to the personal jurisdiction and venue of those courts.
12.3 Injunctive relief
Notwithstanding the foregoing, ArgusForge may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
13. Miscellaneous
13.1 Entire agreement
This Agreement constitutes the entire agreement between you and ArgusForge regarding the Software and supersedes all prior or contemporaneous communications, proposals, and agreements, whether oral or written, regarding the same subject matter.
13.2 Amendments
We may revise this Agreement from time to time. The version posted on this page is the operative version. For material changes, we will notify customers at the email address on file and post the updated version at this URL at least thirty (30) days before the change takes effect. Continued use of the Software after a material change constitutes acceptance of the revised Agreement.
13.3 Assignment
You may not assign or transfer this Agreement or your license, in whole or in part, without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, sale of assets, or operation of law.
13.4 Severability
If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
13.5 No waiver
Our failure to enforce any provision of this Agreement is not a waiver of that or any other provision.
13.6 Export compliance
You may not use, export, or re-export the Software in violation of United States export control laws or the laws of any other applicable jurisdiction. You represent that you are not located in, and are not a national of, any country subject to a comprehensive United States embargo, and that you are not on any United States government list of restricted parties.
13.7 U.S. government end users
The Software is "commercial computer software" as defined in FAR 12.212 and DFARS 227.7202. If the Software is licensed to or used by the United States government, the Software is licensed only with the commercial rights granted in this Agreement.
